These Terms of Service ("Terms") govern your access to and use of LactaSite ("we," "our," "us," or the "Service"). By creating an account or using our platform, you agree to these Terms. If you do not agree, do not use the Service.

1. Purpose of the Service

LactaSite provides a secure, HIPAA-compliant web application for lactation professionals to manage their practice and patient records. The Service is intended only for professional healthcare use.

2. Eligibility

You must:

  • Be a licensed healthcare provider, certified lactation consultant, or an authorized staff member working under such supervision.
  • Be at least 18 years old.
  • Use the Service only for lawful purposes and in compliance with HIPAA and all applicable laws.

3. User Responsibilities

When using the Service, you agree to:

  • Provide accurate and current registration information.
  • Maintain the confidentiality of your login credentials.
  • Ensure your use of the Service complies with HIPAA and other applicable laws. This includes ensuring that any Third-Party Services you connect to the Service are configured and used in compliance with applicable privacy and security laws.
  • Use the Service only to manage patient care and professional records.
  • Not misuse the Service (e.g., attempting unauthorized access, reverse engineering, introducing malware, or sharing login details).

You are responsible for any actions taken under your account.

4. HIPAA and Business Associate Agreement

Customer acknowledges that the Services may involve the creation, receipt, maintenance, or transmission of Protected Health Information ("PHI"). If Customer is a Covered Entity under HIPAA, Customer agrees that the LactaSite Business Associate Agreement ("BAA"), available at /legal/baa, is incorporated into and forms part of these Terms.

Customer's acceptance of these Terms constitutes acceptance and execution of the BAA. The BAA governs the parties' rights and obligations with respect to PHI and shall control in the event of any inconsistency with these Terms.

LactaSite may update the BAA from time to time as required by law. Continued use of the Services after notice of such updates constitutes acceptance of the revised BAA.

5. Data Security

We implement administrative, physical, and technical safeguards designed to protect PHI and comply with HIPAA, including encryption, access controls, and monitoring. However, no system is completely secure. You are responsible for maintaining appropriate device and network security when accessing the Service.

6. Subscription, Fees, and Payment

If the Service includes paid features:

  • Fees and billing terms will be provided at the time of subscription.
  • Payments are due as agreed, and failure to pay may result in suspension or termination of your account.
  • Fees are non-refundable except as required by law.

7. Service Availability and Support

We strive to provide continuous, secure access to the Service. However, we do not guarantee uninterrupted availability. We may occasionally perform maintenance, upgrades, or updates that may temporarily affect availability.

8. Third-Party Integrations

The Service may offer optional integrations with third-party services, including but not limited to Google Calendar or other scheduling platforms ("Third-Party Services").

By enabling a Third-Party Service, you authorize LactaSite to access and process the limited data necessary to provide the requested functionality. We do not control, and are not responsible for, the availability, accuracy, security, or performance of Third-Party Services.

Your use of any Third-Party Service is subject to that provider's terms and privacy policies.

If you connect a calendar or other external system, you are solely responsible for ensuring that your use of such Third-Party Service complies with applicable laws and regulations, including HIPAA. LactaSite does not warrant that any Third-Party Service independently satisfies HIPAA requirements or that a Business Associate Agreement exists between you and the Third-Party provider.

We reserve the right to modify, suspend, or discontinue integrations at any time.

9. Intellectual Property

All rights, title, and interest in the Service (software, design, features, trademarks, and content) remain with us. You are granted a limited, non-exclusive, non-transferable license to use the Service for professional purposes only.

10. Termination

We may suspend or terminate your account if you:

  • Violate these Terms, HIPAA, or applicable law.
  • Fail to pay fees owed.
  • Engage in fraudulent, harmful, or unauthorized use of the Service.

Upon termination, your access to patient records may be restricted. We will provide reasonable opportunity to export or transfer records as required by law.

11. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages arising from your use of the Service.
  • Our total liability is limited to the fees paid by you for the Service in the 12 months preceding the claim.
  • Nothing in these Terms limits liability where prohibited by law (e.g., willful misconduct).

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, or costs arising from your misuse of the Service, violation of HIPAA or applicable law, or breach of these Terms.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated to users via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of Illinois, without regard to conflict of law principles.
